COMPROMISE SETTLEMENT AGREEMENT
This Compromise Settlement Agreement (“Agreement”) is made and entered into effective as of May 2, 2016, among Osceola SC, LLC d/b/a St. Cloud Regional Medical Center (“Hospital”), Carmen Sierra, M.D. (“Physician”), and Central Florida Internists, Inc. (“Practice”) (each, a “Party,” and together, “the Parties”).
RECITALS
WHEREAS, the Parties entered into a Recruitment Agreement on or about April 20, 2014 under which, among other things, Physician agreed to relocate to Hospital’s Geographic Service Area and maintain a Full-Time Private Practice of Medicine therein for the term of the Recruitment Agreement, a copy of which is attached hereto as Exhibit A (“Recruitment Agreement”);

Sierra, M.D., M.G., LLC entered into a Second Amendment to Physician Recruitment Agreement on or about April 1, 2015 memorializing the effect of the termination on Physician’s and Practice’s ongoing obligations under the Recruitment Agreement (the “Second Amendment”);
WHEREAS, Physician and Practice disputed which party should retain the $42,859.45 in collections obtained by Practice after the termination of Physician’s employment at Practice, but related to Physician’s medical services provided while she was an employee of Practice (the “Outstanding A/R”);
WHEREAS, Hospital withheld certain Monthly Guarantee Payments due to Practice and to Physician under the Recruitment Agreement because the resolution of the dispute over the Outstanding A/R would affect the amounts due under the Recruitment Agreement from Hospital (the “Withheld
