So, as long as the courts can find that the director acted upon an informed decision, in a rational basis without a conflict of interest, the business judgment rule can effectively be used to obtain immunity against a breach of duty of care claims. With that being said the other primary fiduciary duty, is the duty of loyalty. The need for directors to adhere to this particular duty comes from the notion that there must be some safeguards in place to protect the company from economic harm brought on by any internal conflicts of interest. Now a breach of the duty of loyalty can occur if the director engages in self-dealing by holding a personal interest in a corporate action, or if the director fails to disclose and show good faith when learning of a business opportunity that could potentially be very lucrative for the corporation.
